The abbreviation AG stands for public limited company and describes a legal form for companies. What is special about the AG is that it has access to the stock exchange. Forming an AG makes sense above all for companies that are aiming for an IPO. In addition, the AG is also a corporation whose shareholders are also called stockholders. Each shareholder or stockholder can hold shares in the company. The rights and influence of shareholders depend on the type and number of shares they hold.
In an AG, the shareholders or stockholders are not liable with their private assets, but only with their contributions or shares. In the event of insolvency, only the assets of the company are used for the liabilities of the AG.
AG stands for public limited company. This form of corporation is usually chosen as the corporate form for listed companies. In English-speaking countries, the AG is called a "Public Limited Company", abbreviated as PLC. The PLC is also a corporation, similar to the German Aktiengesellschaft (AG), and can accordingly offer its shares on stock exchanges.
Notary fees and commercial register fees of about 1,000 to 1,500 euros are incurred for the articles of association and the entry of the AG in the commercial register. These can be paid from the share capital, which in the case of an AG is at least 50,000 euros. In addition, there are usually consulting costs if one seeks advice from a lawyer or tax adviser.
An AG can be founded by any number of shareholders. The one-person AG is also possible, but rare in practice, since the high minimum capital and further contributions for the business assets can be better borne by several persons. Founders of an AG can be natural persons, but also companies such as a UG (haftungsbeschränkt) or GmbH.
An AG is usually founded if one wishes to transfer interests in the company (shares) in a simple way and especially if a company wants to go public and if shareholders want to secure their interests in the form of shares and the underlying co-decision rights. As a corporation, the AG also has the advantage that shareholders are not liable with their private assets.
GmbH and AG are both corporations. However, they can also be interconnected. For example, the GmbH can be a shareholder by acquiring shares in the AG. An important difference between the two forms of company when founding is the amount of share capital. When founding an AG, 50,000 euros must be contributed, whereas when founding a GmbH, half that amount, i.e. 25,000 euros, is sufficient as a capital contribution. However, there are other differences, for example in the management of the company and the relationship of the corporate bodies; the GmbH has a management and a shareholders' meeting, while the AG has an executive board, a supervisory board and a general meeting with different rights and obligations.
