Coaching Employee Ownership

You want to set up an employee ownership programme for your employees, but you are not sure whether to set up an open or a virtual programme? You are not sure about the specific design, how to handle vesting and what a fair strike price is? In a 2-hour online coaching session, you will receive all the important information and specific answers to your questions.

Term sheet

We work with you to create a term sheet in which we define the key points for your employee participation programme.

Corporate law review

We check the corporate law requirements for setting up your employee participation programme, e.g. shareholder or advisory board resolutions or veto rights. In return, you will receive a list of documents that you need to provide us for the review.

Drafting the contractual documents

We draft the individual contractual documents for your participation programme for you based on the key data that we have jointly defined in the term sheet. For open employee participation, this includes the share purchase agreement including vesting and the necessary shareholder resolutions, and for virtual participation, the employee participation programme, allocation letter and shareholder resolutions.

Implementation under company law

We draft the necessary documentation for you to implement your participation programme securely, for example a resolution of the shareholders' meeting or the advisory board.

When implementing an employee participation programme by granting real shares in the company, notary and registration costs are incurred. These are not included in the price.

Expert advice

We offer you advice from our specialised experts and, if you wish, we can also form teams of experts to examine specific issues from a legal and tax perspective, for example.

Flexible, digital and full cost control

Our advice is provided remotely and the data exchange is secure. This ensures the greatest possible flexibility. By purchasing the package, you will not incur any unexpected costs and you will have a full overview of the costs.

Maximum hours

The maximum hours for this service is 10 hours. Should we require more time to provide the service, we will discuss this with you individually. We will then offer you the option of purchasing hours for legal and tax advice at a discounted rate.

German and EU law

We offer advice on German and EU law, but not on foreign legal systems.

Legal advice only by lawyers

Legal advice is provided only by lawyers. Usually by the experts from Tax&Legal digital, Lahann, Pikolleck & Partner, lawyers and tax advisors, PartG.

Tax advice is not included in the package. If you would also like us to provide you with tax advice, you are welcome to book an hourly rate for legal and tax advice.
